These Terms of Service (“Terms”) govern your access to and use of the website, applications, and services (collectively, the “Services”) provided by Vectanex (“Vectanex,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

8. Limitation of Liability

To the maximum extent permitted by law, Vectanex and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed the greater of the amount you paid us in the twelve months preceding the claim or one hundred U.S. dollars (USD 100).

You agree to indemnify and hold harmless Vectanex and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

11. Changes to the Services and Terms

We may modify or discontinue the Services, in whole or in part, at any time. We may also update these Terms from time to time. When we make material changes, we will update the “Effective” date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which Vectanex is established, without regard to conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the courts located there, except where prohibited by applicable law.
